By accessing or using the Services, creating an account, placing an order, using a
supplier or delivery portal, or receiving communications related to the Services, you
represent that you have read, understood, and agreed to these Terms of Use. You also
agree to comply with all applicable laws and regulations.
You may use the Services only if you are able to form a binding contract with SoilDirect and are not prohibited from using the Services under applicable law. If you use the Services on behalf of a company, supplier, contractor, or other organization, you represent that you are authorized to bind that organization to these Terms of Use.

disclose, and protect information, including mobile phone numbers and SMS opt-in

SoilDirect Ops Alerts SMS/MMS Messaging Terms
Program Name: SoilDirect Ops Alerts.
Program Description: SoilDirect Ops Alerts is an operational text messaging program used by SoilDirect to send order notifications, delivery assignment alerts, dispatch coordination, supplier scheduling notices, delivery instructions, account notices, and related business operations messages to authorized employees, internal staff, contractors, delivery drivers, suppliers, and other personnel who support SoilDirect operations in the United States. SoilDirect Ops Alerts are not marketing or promotional messages.
Opt-In and Consent: Recipients opt in outside the public website during employee onboarding, contractor onboarding, driver account setup, supplier account setup, or another authorized internal account process. As part of that process, the recipient provides a mobile phone number and agrees to receive operational text notifications from SoilDirect related to order assignment, delivery scheduling, dispatch, supplier coordination, and related business operations. Consent records are maintained in SoilDirect account, onboarding, or administrative records. Consent to receive text messages is not a condition of purchasing products or services from SoilDirect.
Message Frequency: Message frequency varies based on business activity, account role, order volume, supplier scheduling, dispatch needs, and assigned work.
Charges: Message and data rates may apply for messages sent to you from SoilDirect and for messages sent by you to SoilDirect. Please contact your wireless provider with questions about your text or data plan.
Opt-Out Instructions: You can cancel SoilDirect Ops Alerts at any time by replying STOP to any SoilDirect Ops Alerts message. After you reply STOP, we will send a confirmation message that you have been unsubscribed. After this, you will no longer receive SoilDirect Ops Alerts unless you opt in again through an authorized onboarding or account process.

Accounts and Security
Some parts of the Services may require an account. You agree to provide accurate,

for all activity that occurs under your account. You agree to notify SoilDirect promptly
if you suspect unauthorized access to your account.
Orders, Products, Suppliers, and Delivery
SoilDirect provides tools and services related to landscaping materials, ordering,
pricing, supplier coordination, delivery scheduling, and related business operations.
Product descriptions, pricing, taxes, availability, delivery windows, and fees may
change without notice and may vary by location, supplier, order details, and delivery
requirements.
Certain products or services may be provided or fulfilled by suppliers, contractors, delivery partners, or other third parties. SoilDirect may share order, scheduling, delivery, and contact information with those parties as needed to fulfill orders and coordinate services, as described in the Privacy Policy.

Permitted Use
You agree not to misuse the Services. You may not use the Services to submit false,
fraudulent, misleading, unlawful, infringing, obscene, or harmful information; interfere
with the operation or security of the Services; attempt to access accounts, systems, or
data without authorization; transmit malware or harmful code; scrape or harvest data
in violation of these Terms; or use the Services in a way that violates applicable law.
Changes to the Services and Terms
We may update, modify, suspend, or discontinue any part of the Services at any time.

third-party services. SoilDirect is not responsible for third-party services, and your use

permitted by law, SoilDirect disclaims all warranties, express or implied, including
warranties of merchantability, fitness for a particular purpose, title, and
non-infringement. SoilDirect does not guarantee that the Services will be uninterrupted,
error-free, secure, or free of harmful components.
Limitation of Liability
To the fullest extent permitted by law, SoilDirect and its affiliates, officers, directors,
employees, agents, suppliers, contractors, and service providers will not be liable for
any indirect, incidental, consequential, special, exemplary, or punitive damages, or for
lost profits, lost revenue, lost data, or business interruption, arising from or related to
the Services or these Terms of Use.
Indemnification
You agree to defend, indemnify, and hold harmless SoilDirect and its affiliates,
officers, directors, employees, agents, suppliers, contractors, and service providers
from and against claims, liabilities, damages, losses, and expenses, including reasonable
attorneys' fees, arising out of or related to your use of the Services, your violation of
these Terms of Use, your violation of applicable law, or your violation of another
person's rights.
Governing Law
These Terms of Use and any dispute arising out of or related to the Services will be
governed by the laws of the State of California, without regard to conflict of law rules,
unless another governing law is required by applicable law. You agree to the exclusive
jurisdiction and venue of the state and federal courts located in Los Angeles County,
California for disputes that are not subject to another required forum under applicable
law.
